1.1 “BSC UK” – The Business Society of Commerce Limited, United Kingdom, a professional membership organisation for commerce and commercial consultancy.
1.2 “BSC Qualifications™” or “BSCQ” – A proposed qualifications framework or entity that is not yet registered as a company. In the future, it may operate as a separate company, a department of BSC UK, or an offshoot of BSC UK. BSCQ is intended to design and award qualifications and to market BSC UK’s qualifications as stacked pathways.
1.3 “BSC Group” – The UAE-based holding company used for investment, international operations and funding structuring.
1.4 “Member” – Any individual accepted into BSC UK as Student, Associate (ABSC), Fellow (FBSC) or Honorary.
1.5 “Certifications” – Professional qualifications awarded by BSC UK, including CertCM™ (Certified Commercial Manager) and CertCC™ (Certified Commercial Consultant).
1.6 “LMS” – The Learning Management System used by BSC UK for courses, training and examinations.
1.7 “Global Network of Approved Centre” – An institution formally authorised by BSC UK to deliver training or examinations.

The Business Society of Commerce Limited – UK is an organisation international in scope for Commercial Consultants and a membership based professional body. It offers globally recognised certifications in Commercial Management and Commercial Consultancy to its members. BSC UK provides flexible, career-focused education designed to help professionals and students gain industry-relevant skills and become a Certified Commercial Manager (CertCM™) and/or Certified Commercial Consultant (CertCC™).
History & Legacy
- Originally founded in 1947 as the British Society of Commerce (BSC) in Wigan, UK, to support ex-soldiers transitioning into civilian careers.
- Dissolved in 2011 but revived under a new name with modernised programs.
- Now operates in the UK, Morocco, West Africa, with plans for global expansion.

Professional and Corporate Overview
BSC UK is a professional and membership body in commerce, business management and commercial consultancy. It grants professional memberships (ABSC, FBSC), certifications (CertCM™, CertCC™), delivers training via LMS and Global Network of Approved Centres, and enables degree progression. Training is delivered online via LMS, through Global Network of Approved Centres, and in-person at the Rabat Campus (once operational). BSC guarantees only the professional competency proven via examination. It does not guarantee job placement or performance in employment.
International Professional Cooperation
BSC UK is actively seeking to expand its international footprint through Memoranda of Understanding (MOUs) and strategic cooperation with professional bodies, educational institutions, and industry organisations. As part of this strategy, the Society has been developing and continues to expand a Global Network of Approved Centres to:
- Deliver BSC UK programmes and examinations locally
- Provide academic guidance and learner support
- Act as regional points of contact for students, members and partners
These collaborations support global accessibility, professional benchmarking, and the responsible international delivery of BSC UK qualifications and memberships.
Organisational Structure – BSC UK, BSC Group UAE, Morocco
- BSC UK – Professional membership body registered in England & Wales (limited by guarantee).
- BSC Group (UAE) – Holding company for investment, asset ownership, and international expansion.
- Rabat Business School (Morocco) – Education campus delivering BSC UK exams, training and French/English bilingual delivery (Bac+2 to Bac+3 level).
- BSC Qualifications™ (BSCQ) – A proposed entity (see Section 3).
- Funding from investors may enter via BSC Group (Dubai), but certifications and academic responsibility remain with BSC UK.

BSC Qualifications™ (BSCQ) is not yet registered as a company. It is a proposed qualifications framework or entity that may, in the future, operate as:
- a separate company,
- a department of BSC UK, or
- an offshoot of BSC UK.
Until a final legal structure is chosen, BSCQ is described as a concept or brand that BSC UK may use to promote accessible, high-quality learning, examination, and certification pathways. BSCQ is intended to function as both a qualifications provider and a course provider, delivering structured learning and assessment pathways for global learners, supporting progression into BSC UK’s professional membership, certification routes, and academic pathways.
Proposed Functions
- Design, regulate, and award qualifications (subject to future legal establishment).
- Promote education, training, assessment, and certification.
- Administer examinations for learners studying BSC UK subjects under BSC UK specifications.
- Market BSC UK’s qualifications, particularly through the stacked qualifications pathway (see Section 9).
- Develop and award its own qualifications (e.g., Warehouse Management, Supply Chain Skills) that would be fully owned and examined by BSCQ (if established). Such qualifications would not provide BSC UK exemptions unless otherwise stated.
Trading Names
If BSCQ is established as a separate company, it may trade under approved names including “BSC Q”, “BSCQual”, and any others approved by the Directors. If it remains a department or offshoot, those names would be used as brands of BSC UK.
Non-Profit Intention
If BSCQ becomes a separate legal entity, it is intended to operate on a not-for-profit basis, with any income applied solely to its objects. No part of the income or property would be paid to members by way of dividend or profit. Directors (if any) may be remunerated for services actually provided and reimbursed for reasonable expenses.
Liability Intention
If BSCQ is established as a company limited by guarantee, each member would undertake to contribute a nominal amount (e.g., £1) in the event of winding up. Upon winding up, remaining assets would be transferred to BSC UK (if still operating on a non-profit basis with similar objects) or to another similar non-profit organisation.
Current Status
At present, BSCQ is not a registered legal entity. All references to BSCQ in this document describe its proposed role and intended operations. If and when BSCQ is formally registered as a separate company, these provisions will be updated accordingly.
- Governance Structure and Council of Management
The governance structure of BSC UK is designed to balance democratic participation by members with strong strategic leadership. It provides for transparent oversight and continuity of direction through clearly defined roles and checks and balances.
The hierarchy of authority is as follows:
- Members in General Meeting – Hold ultimate constitutional authority, including approving amendments, electing Council members, and ratifying significant matters.
- Founding Members – Custodians of the Society’s vision with exclusive authority to appoint the Executive Director and also hold the right to exercise an additional deciding vote on any resolution brought before a General Meeting of the members.
- Council of Management – Statutory directors responsible for operations, compliance, and financial oversight.
- Executive Director – The Chief Executive Officer drawn exclusively from the Founding Members.
- Committees – Specialised bodies providing expertise and operational support.
Checks and balances are maintained through Council oversight, Founding Member stewardship, and committee accountability.
Council of Management
The Council of Management constitutes the statutory directors of BSC UK under the Companies Act 2006. Council members are entrusted with oversight of the Society’s operations, finances, compliance, and policy implementation. They must act collectively in the best interests of the Society and ensure that decisions are aligned with its objectives and legal obligations.
Council members are required to:
- Act within their powers and in accordance with the Articles of Association.
- Promote the long-term success and sustainability of the Society.
- Exercise independent judgment while giving due consideration to the advice of committees and the Executive Director.
- Avoid conflicts of interest and declare any potential conflicts at the earliest opportunity.
- Exercise care, skill, and diligence in all matters relating to governance.
The Council shall meet as frequently as necessary to discharge its responsibilities. All decisions must be recorded in formal minutes, and members are expected to prepare thoroughly for meetings, participate actively, and follow up on agreed actions.
Governance of Founding Member/s & Executive Leadership
The Founding Member/s of BSC UK occupy a constitutional role of primacy and are the exclusive pool from which the Executive Director may be appointed. Their position ensures continuity of leadership and fidelity to the founding ethos.
Appointment as a Founding Member requires nomination by an existing Founding Member, unanimous approval by the current Founding Member/s, and ratification through a Special Resolution under Section 21 of the Companies Act 2006.
Responsibilities of Founding Members include:
- Appointing and renewing the Executive Director, who must be a Founding Member.
- Safeguarding the Society’s long-term strategy and governance integrity.
- Representing BSC UK externally to promote its reputation and influence.
The Executive Director serves as the Chief Executive Officer of BSC UK. Appointed for a renewable five-year term (up to a maximum of fifteen years), the Executive Director leads strategic planning, manages daily operations, oversees education and certification delivery, represents the Society publicly, and liaises with the Council of Management. The Founding Members retain exclusive authority to appoint an interim Executive Director in the event of vacancy, with any permanent successor requiring member ratification. The Executive Director is accountable both to the Founding Members and to the Council under the Companies Act 2006.
Committee Policy
Committees of BSC UK provide specialist expertise and operational support in defined areas. They operate under the authority of the Council and are accountable for ensuring that their recommendations align with the Society’s strategy and governance framework.
Key committees include:
- Certification Committee: Oversees certification standards, assessments, and recommendations for the award of qualifications. Members are selected based on their professional competence and experience.
- Membership Committee: Manages membership applications, renewals, and grade advancements, ensuring fairness, consistency, and transparency.
- Finance & Audit Committee: Monitors financial management, budgets, and compliance with statutory requirements.
- Ethics & Professional Standards Committee: Investigates complaints, reviews alleged breaches of standards, and recommends disciplinary action where appropriate.
- Council of Advisors: Provides guidance and expert opinion but holds no voting rights. Advisors are appointed for renewable three-year terms.
Each committee shall report regularly to the Council, ensuring accountability and transparency in the Society’s governance processes.
- Membership Categories and Admission
Membership constitutes the foundation of the Society’s strength and credibility. The following categories are recognised:
- Founding Member: Named in Articles; lifetime constitutional role.
- Fellow (FBSC): Senior professional grade requiring relevant experience. To upgrade from Associate (ABSC) to Fellow (FBSC), a member must have held Associate status for a minimum of one year, unless the Council admits an individual directly under exceptional circumstances.
- Associate (ABSC): Entry-level professional membership grade obtained via qualifying examinations and/or exemptions.
- Honorary Life Member: Conferred “free of cost” upon distinguished individuals or former members of the historic BSC.
- Student Member: Available to individuals enrolled in BSC programmes.
Applications for membership must be made using official forms and are reviewed by the Membership Committee. Admission or renewal is subject to Council approval and payment of applicable fees. Termination of membership may occur through voluntary resignation or removal for misconduct.

Membership Admission & Titles
Membership is granted upon application, verification and fee payment. Students do not receive any post-nominal letters. ABSC and FBSC post-nominals may only be used while membership is active and in good standing. Misuse of post-nominals (ABSC, FBSC) or certifications (CertCM™, CertCC™) after suspension, cancellation or expiration of membership is prohibited and may result in legal action, reputational correction, or formal notice. CertCM™/CertCC™ titles may be used only after successful examination and/or certification. Membership obtained through exemption does not mean competency unless exam-tested.
- Membership Titles, Post-Nominals and Proper Use

- Student Member: None
- Associate Member: ABSC
- Fellow Member: FBSC
- Honorary: ABSC or FBSC
Members must not misrepresent their membership level, certifications, or affiliation with BSC UK. ABSC, FBSC, CertCM™, CertCC™ must be used exactly as approved; no altered or self-created titles (e.g. “Licensed BSC Consultant”) are permitted. Approved Centres must not advertise joint degrees or “university status” on behalf of BSC UK. Misuse may result in legal action, membership removal, or public clarification by BSC UK.
- Education Programmes (Levels 4, 5 and 6)
BSC UK delivers twelve structured diploma subjects aligned to UK Levels 4, 5, and 6, equivalent to undergraduate stages of higher education. BSC UK may introduce other diplomas or qualifications from time to time, in addition to the core pathway described below.
- UK Level 4 Diploma – Foundational Business Understanding (4 subjects)
- UK Level 5 Advanced Diploma – Developing Knowledge as a Commercial Manager (4 subjects)
- UK Level 6 Graduate Diploma – Becoming a Specialised Expert as a Commercial Consultant (4 subjects)
All programmes are delivered via the Society’s Learning Management System (LMS), approved global centres, and designated campuses. Assessments are competency-based, with a consistent 50% pass mark.
Study Options
- Online Learning – Self-paced via BSC’s Learning Management System (LMS).
- Approved Centres – Study at partner institutions worldwide.
- British School of Commerce (Morocco) – Blended learning in English & French.
Successful completion of Level 6 enables eligibility for Bachelor’s degree Top-Up (dissertation-only) routes with partner universities in the United Kingdom, France, and Spain (Universidad Católica de Murcia – UCAM), subject to university requirements.
Language Policy
The official language of instruction, examinations and communications of BSC UK is British English. In Francophone regions (e.g. Morocco), BSC UK may use English, French, or both for teaching, assessment and administration. However, all certificates, diplomas, membership charters and official documents are issued only in English. Students studying in French-speaking regions may be required to demonstrate a working level of English for progression or certification purposes, depending on the course and institution requirements. English language training may be integrated where needed.
Use of LMS and Access to Digital Materials
All registered students and members will receive access to BSC UK’s Learning Management System (LMS) after payment of fees. LMS access is personal, non-transferable, and must not be shared with any other person. Access is granted for a fixed duration depending on the course or membership type (as stated in the Programme Handbook). BSC UK is not responsible for interruptions caused by internet failure, user equipment issues, or force majeure. LMS content (videos, PDFs, quizzes, exams) is protected by copyright and may not be downloaded, copied, sold, or shared without written permission. However, registered students are allowed to download the PDF formats of study notes and MCQs for personal study purposes.

Using the proposed BSC Qualifications™ (BSCQ) framework, each of the 12 BSC UK subjects would be divided into three structured levels, allowing learners to progress step-by-step while earning certificates at each stage:
- Elementary (free learning + non-invigilated exam)
- Intermediate (fee-paying + invigilated exam)
- Advanced (fee-paying + strict invigilation)
Each level would result in a certificate issued by BSC UK. With 12 subjects × 3 stages, a total of 36 certificates could be earned through this stacked model.
BSCQ programmes (once operational) would be delivered globally through approved centres. BSC Morocco also functions as a delivery hub under the unified BSC brand.
Registered BSC UK Student Route
Learners who register formally with BSC UK would transition from stacked modular certification into the diploma route. They would sit official BSC UK exams and receive:
- Diploma (Part 1)
- Advanced Diploma (Part 2)
- Graduate Diploma (Part 3)
BSCQ-Owned Qualifications (Proposed)
If established, BSCQ may also develop and award its own qualifications outside the BSC UK pathway, such as Warehouse Management, Supply Chain Skills, and Professional Communication Skills. These qualifications would:
- Be fully owned and examined by BSCQ
- Lead to BSCQ certificates
- Not provide BSC UK exemptions (unless otherwise stated)
- May be recognised by employers or other institutions
Quality Assurance (Proposed)
If BSCQ becomes operational, it is intended to maintain a rigorous quality framework including identity verification, controlled invigilation, exam audit trails, and academic integrity standards.
- Exemption Pathway Using Advanced Certificates
BSC UK grants exemptions based on Advanced-level certificates as follows:
- 4 Advanced Certificates → Eligible for Part 1 Exemption
- 8 Advanced Certificates → Eligible for Part 2 Exemption
- 12 Advanced Certificates → Eligible for Part 3 Exemption
Exemptions are recommended by BSCQ (once operational) based on learner results but formally granted only by BSC UK according to prevailing policies.
- Professional Certifications (CertCM™ and CertCC™)
BSC UK awards two professional certifications:
- CertCM™ – Certified Commercial Manager
- CertCC™ – Certified Commercial Consultant
Professional certifications represent examined proof of competence and are distinct from education and membership.
- Certified Commercial Consultant (CertCC™) – BSC UK’s flagship and highest professional certification, awarded exclusively through examination at UK Level 6.
- Certified Commercial Manager (CertCM™) – Awarded upon successful completion or approved exemption from UK Level 4 and Level 5 examination requirements.
CertCC™ is protected by collective trademark rules and represents advanced standing in commercial consultancy. CertCM™ provides a recognised professional milestone in commercial management.
Certification requires passing exams, following ethics rules, and (if applicable) CPD compliance. BSC UK may withdraw certification for misconduct or fraud.
Collective Trade Mark – Regulations Governing the Use of the Collective Mark: CertCC™
- Name of the Collective Association – Business Society of Commerce (Company Number 16091522 Registered in England & Wales)
- The Mark – The collective mark consists of the letters: CertCC™ (standing for Certified Commercial Consultant).
- Persons Authorised to Use the Mark – Use of the mark is strictly limited to individuals who satisfy the following cumulative criteria:
- Examination Requirement: The applicant must have successfully passed the Part 3 Examination (Level 6 Graduate Diploma in Commercial Consultancy) administered by the Society.
- No Exemption Policy: Unlike other membership tiers, the CertCC™ designation cannot be obtained via the “Exemption Route.” It is an examined competency standard only.
- Membership Status: The applicant must be a member in good standing of the Society (initially as Associate/ABSC).
- Conditions of Membership and Usage
- Time in Grade: Authorised users are admitted as Associate members upon passing the exam. They must complete a minimum of one (1) year in this grade before becoming eligible for Fellow (FBSC) status.
- Post-Nominal Display: Authorised users may display the mark alongside their membership grade (e.g., John Doe, ABSC, CertCC™).
- Professional Identity: While all members may refer to themselves as “Commercial Consultants”, only those meeting the criteria in Section 3 may use the trademarked CertCC™ designation.
- Recognition via Reciprocal Certification Agreements – Subject to the discretion of the Business Society of Commerce (BSC), the CertCC™ designation may be conferred upon individuals who hold a professional certification issued by another certifying body with which BSC has entered into a formal reciprocal recognition agreement, provided that such certification is deemed by BSC to be substantially equivalent in scope, level, and professional standing.
- Quality Control and Maintenance of Standards
- Re-certification: To ensure the continued validity of the mark, authorised users must undergo formal re-certification every three (3) years, providing evidence of Continuing Professional Development (CPD).
- Ethics: All users must sign and adhere to the BSC UK Code of Professional Conduct and Ethics.
- Sanctions and Withdrawal of the Mark – The Society reserves the right to withdraw authorisation to use the mark if:
- The individual ceases to be a member of the Society.
- The individual fails to complete the triennial re-certification.
- The individual is found in breach of the Code of Ethics following a disciplinary hearing by the Council of Management.
- Examination Policy and Academic Integrity
The Society’s examinations are structured to uphold fairness, integrity, and academic rigour.
Structure
- Examinations are organised into three levels (Part 1, 2 & 3) corresponding to Diplomas at UK Levels 4, 5, and 6.
- Students may schedule their own exam after studying the subject for at least 21 days.
- Students need to pass subject by subject and Part by Part. Each part contains 4 subjects.
- There needs to be a minimum of 21 days gap between each subject.
- The pass mark for all examinations is set at fifty percent (50%).
- Assessments are computer-based and delivered through the Society’s Learning Management System (LMS).
- Any failed subject/s may be attempted at student’s convenience as exams are scheduled by students themselves.
Appeals
- Due to computer-based exams, results are notified immediately upon completing the exam.
- Candidates may appeal results within twenty-one (21) days of notification.
- Appeals are reviewed by the Certification Committee, whose decision is final.
Academic Integrity and AI Use
- Plagiarism, cheating, or other breaches of integrity will result in immediate disqualification. In serious cases, misconduct may also lead to termination of membership.
- All BSC UK examinations are structured as multiple-choice assessments delivered electronically (via PC, laptop, smartphone, or other approved digital devices) through the Society’s Learning Management System (LMS).
- Exams may be taken remotely or under invigilation at approved campuses or centres.
- To support fairness and accessibility, students may use AI tools (e.g., chat-based AI) strictly for the purpose of clarifying or rephrasing the exam question — for example, to better understand complex wording.
- However, the use of AI to obtain, suggest, or confirm answers is strictly prohibited. Students must make all answer choices independently, based on their own knowledge and judgment.
To protect academic integrity:
- AI use is limited to clarification only, and students are expected to self-monitor this boundary.
- Examinations are monitored via technical tools and/or invigilation, where applicable.
- Any suspected misuse of AI (e.g., copying AI-generated answers) will be investigated as a breach of examination policy and may result in disciplinary action, including disqualification or suspension.
- Recertification Policy
Re-certification ensures that holders of BSC UK’s professional designations maintain current knowledge, skills, and competence.
Rules
- Holders of CertCM™ must undergo re-certification every two (2) years.
- CertCM™ holders are not automatically Associates, while Associates may still hold CertCM™ if they wish.
- Holders of CertCC™ must undergo recertification every three (3) years.
- The Council reserves the right to amend intervals, requirements, or fees in response to professional or economic developments.
Process
- Candidates must submit a re-certification application before the expiry date.
- A 30-day grace period may be granted at the discretion of the Council.
- Applicants must provide evidence of continuing professional development (CPD) or relevant industry practice, along with payment of the prescribed fee.
- Applications are reviewed by the Council or the Certification Committee.
Failure to re-certify results in suspension of certification status, with prolonged non-compliance leading to withdrawal of certification.
- Approved Centres and Partner Institutions
BSC UK authorises centres globally to deliver training or examinations. Centres must follow BSC academic quality, ethics and exam regulations. Qualifications are always issued by BSC UK directly, even when training is by a centre. Degree progression partnerships are managed by BSC UK and partner universities.
Academic Progression & University Degrees
BSC UK guarantees that students who successfully complete Part I and Part II (or are formally exempted), or who fully pass Part III, will be eligible to progress to a Bachelor’s degree (Top-Up / Dissertation format) with one of BSC UK’s recognised and/or accredited university partners. These agreements may include accredited institutions based in the United Kingdom, USA, France, Morocco, Spain, Mexico, and other approved jurisdictions.
This guarantee is strictly limited to the current formal agreements with partner universities and is subject to the student fulfilling all required academic, administrative, and legal conditions of the receiving institution (e.g. visa eligibility, tuition payment, dissertation submission). BSC UK does not guarantee admission to Master’s degrees (Bac+4 or Bac+5) or any other postgraduate or professional programme. Such progression depends solely on the independent policies of the respective university.
- Code of Professional Standards and Ethics
All members and students must follow the BSC UK Code of Professional Conduct and Ethics. All members of BSC UK are expected to adhere to the highest standards of professional conduct. Members must:
- Demonstrate honesty and integrity in all professional dealings.
- Deliver services competently and responsibly.
- Refrain from conduct that may bring the Society into disrepute.
Unacceptable behaviour includes (but is not limited to):
- Cheating or plagiarism in examinations
- Misuse of post-nominals ABSC/FBSC or titles CertCM™/CertCC™
- Forgery of certificates or documents
- Harassment, discrimination, or abusive conduct
- Bringing BSC UK into disrepute
Breaches of these standards are investigated under the disciplinary procedures, with sanctions ranging from warnings to expulsion.
- Disciplinary Actions and Sanctions
Disciplinary actions may include:
- Written warning
- Suspension of membership or exam rights
- Cancellation of results or expulsion from programmes
- Withdrawal of ABSC/FBSC, CertCM™, CertCC™ titles
Appeals may be submitted in writing within the time limit specified in the Programme Handbook.
Cancellation, Suspension & Termination
Membership or student enrolment may be suspended or cancelled if:
- Fees are unpaid
- False information is provided
- Academic misconduct occurs
- The individual breaches the Code of Ethics
Members may voluntarily resign but no fees are refundable. Once expelled or resigned, members must stop using ABSC, FBSC, CertCM™, CertCC™ designations.
- Data Protection and Privacy (GDPR Compliance)
BSC UK collects personal data (name, contact details, academic history, exam results) solely for:
- Education and certification delivery
- Membership administration
- Legal and regulatory compliance
Data is stored securely and is not shared with third parties, except:
- With partner universities for educational progression
- With accreditation or regulatory bodies
- With legal authorities when required by law
Individuals have the right to request correction or deletion of their data. Deletion may not be possible if retention is legally required.
By enrolling in a programme or applying for membership, individuals consent to the use of their personal data in accordance with UK GDPR and Data Protection laws. Additionally, any individual who contacts BSC UK (e.g., for programme information) consents to temporary storage of their contact details for informational or promotional purposes — unless they notify BSC UK otherwise.
- Copyright and Intellectual Property
All course materials, exams, logos, documents and digital content remain the intellectual property of BSC UK. Students and members may use materials only for personal study. Copying, distributing, reselling, or translating BSC UK content without permission is prohibited. BSC UK logos and the name “Business Society of Commerce” may not be used by individuals or centres without written authorisation.
- Liability and Disclaimer
BSC UK guarantees only the professional competence proven through its examinations at the time of certification. BSC UK disclaims responsibility for any indirect or consequential loss, including employment outcomes, business decisions, or income loss, except where liability cannot be excluded by law. Nothing in these Terms limits liability for death, personal injury, fraud, or other matters which cannot legally be excluded under UK law.
No compensation, damages or liability will be accepted for:
- Loss of data
- Examination failure
- Employment loss
- Institutional rejection (Master’s level, visas, etc.)
BSC UK only certifies competence where examination was taken. Members admitted via exemption/experience are not guaranteed competent unless examined.
- Amendments to This Framework
BSC UK may amend these Terms at any time to meet legal, academic or regulatory requirements. Updated Terms will be published on the official website or LMS. Continued membership, training or examination activity constitutes acceptance of such updates.
This Governance and Operations Policy may be amended by resolution of the Council, provided that any changes remain consistent with the Articles of Association and the Companies Act 2006. All amendments must be communicated to members within thirty (30) days of adoption to ensure transparency and accountability.
